1. Agreement to the Terms

These terms (the "Terms") form a legal agreement between you and SymplysisAI, Inc., a Delaware C corporation registered in the United States (the "Company", "we", or "us").

By creating an account or accessing or using the service, you acknowledge that you have read and understood these Terms and agree to be bound by them. If you do not agree, you may not use the service.

2. Your account

• You must be at least 16 years old, or the age of legal majority in your country, to create an account.
• You are responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity that takes place under your account.
• We may suspend or disable your account if these Terms are violated or if we detect fraudulent activity or abuse.

3. Subscription and payment

• Some SymplysisAI features require a paid subscription. Prices and usage limits are listed on the subscription page inside the app.
• Subscriptions are billed in advance on a monthly or yearly basis and renew automatically unless you cancel before the renewal date.
• Fees are non-refundable except as set out in our Refund Policy.
• We may change prices, and we will notify you of any change before it applies to your next billing cycle.

4. License to use the service

We grant you a limited, non-exclusive, revocable, non-transferable license to access and use the SymplysisAI platform for your internal business purposes, subject to your compliance with these Terms.

SymplysisAI, Inc. retains all right, title, and interest in the platform, including its code, designs, trademarks, and other intellectual property.

5. Generated content

You retain ownership of the content you input into the platform, including images, text, brand voice, and product information.

Everything the SymplysisAI tools produce from your inputs belongs to you, and you may use it commercially without additional restriction. You are responsible for reviewing these outputs before publishing them, to check their accuracy, suitability, and that they do not infringe any third party's rights.

6. Acceptable use

• Do not use the service for any unlawful, harmful, abusive, or fraudulent purpose.
• Do not generate content that deceives consumers, impersonates another person, or infringes a third party's intellectual property.
• Do not circumvent plan limits, resell access to the platform, attempt to extract model weights, or bypass security controls.
• Do not use the service to process sensitive personal data (medical, financial, minors' data, and similar) without our explicit written permission.

7. Third-party integrations

SymplysisAI may provide links or integrations with third-party services, such as Lightfunnels, Shopify, YouCan, and advertising providers. We are not responsible for the policies or practices of those parties. Your use of these integrations is governed by their own terms.

8. Disclaimer

The service is provided "as is" and "as available", without warranties of any kind, express or implied, regarding the accuracy of outputs, fitness for a particular purpose, or freedom from errors or interruptions. AI may produce incorrect outputs, and you must verify them before relying on them.

9. Limitation of liability

To the extent permitted by law, SymplysisAI, Inc. and its directors, employees, and providers will not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, reputation, data, or business opportunities, even if advised of the possibility of such damages.

The Company's total liability to you will not exceed the amount you paid for the service in the twelve months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless SymplysisAI, Inc. from any claims or damages arising from your use of the service, your content, your violation of these Terms, or your violation of any third party's rights.

11. Termination

You may terminate your account at any time from your account settings or by contacting support@symplysis.com.

We may suspend or terminate your access immediately if these Terms are violated. On termination, your right to use the service ends, and provisions that by their nature should survive remain in effect.

12. Changes to the Terms

We may amend these Terms from time to time. Updates will appear on this page, and for material changes we will notify you in advance. Continuing to use the service after changes take effect is treated as acceptance of them.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute is subject to the exclusive jurisdiction of the federal or state courts located in Delaware, unless the mandatory laws of your country grant you additional protection.
